Set Up a Company in Germany from Oman

Oman Vision 2040 is driving Omani companies to diversify beyond hydrocarbons and build positions in new markets. A German GmbH gives Omani businesses and investors a solid base inside the European Union — for trade, logistics, technology and services — while you keep full ownership and continue to run everything from Oman. Germany Business Development manages the complete formation remotely: notary, commercial register, bank account and tax registration.

Can Omani investors own a German company?

Yes. German law allows 100% foreign ownership — an Omani citizen or an Omani company can be the sole shareholder of a German GmbH, and the managing director can live in Oman. No German partner is needed, and profits can be repatriated freely. Your German company trades across the entire EU single market of around 450 million consumers.

Which company type is right for you?

GmbH — the standard German limited company. Share capital €25,000, with at least €12,500 paid in before registration. Best for trading, distribution and holding structures that need maximum credibility.

UG (haftungsbeschränkt) — the “mini-GmbH”, starting from €1 of capital and converting into a GmbH once reserves reach €25,000. A lean way to test the European market.

Branch office — an extension of your Omani company; fast to open, but the Omani parent remains fully liable.

Choosing between them is the first step of our Business Establishment service.

Documents from Oman: the apostille route

Oman is a member of the Hague Apostille Convention, so documents follow the simple route: notarisation in Oman, a Hague apostille, and a sworn translation into German. This covers the power of attorney and — if an Omani company is the shareholder — its commercial registration and board resolution. We provide the exact checklist for your case before you start, so the paperwork is right the first time.

How it works — step by step

  1. Structure and name check — your company name is checked with the Chamber of Commerce (IHK) and the commercial register.
  2. Documents prepared in Oman — power of attorney and any company documents notarised and apostilled, with sworn German translations.
  3. Notary appointment in Germany — our team represents you under the apostilled power of attorney; you do not need to travel.
  4. Bank account and capital — the company account is opened and the share capital paid in; the bank confirms the deposit to the notary. We prepare the bank’s document file with you upfront, as German banks review foreign shareholders carefully.
  5. Handelsregister registration — entry in the commercial register; your GmbH legally exists.
  6. Tax number, VAT ID and address — handled by us; a compliant German business address is available from day one through our Virtual Office.

Timeline from Oman: typically 5 to 8 weeks, depending on the apostille, translations and bank onboarding.

Costs

GmbH share capital is €25,000 (at least €12,500 paid in — your company’s own capital, not a fee), plus notary, register, apostille and translation costs and our formation package. Fixed itemised quote before we start: request your quote.

Good to know for Omani investors

  • Tax treaty: A double taxation agreement between Germany and Oman is in place, so profits are not taxed twice.
  • Diversification fit: A German GmbH is a practical European platform for Omani groups expanding in logistics, food trade, tourism services and technology under Vision 2040.
  • Living in Germany: Ownership alone needs no visa. If you plan to relocate and work in the company, a residence permit is required — our Immigration team advises on the routes.
